Terms of Service

Welcome to MindPlan Pro. These Terms of Service ("Terms") govern your access to and use of MindPlan Pro (the "Service"), provided by MindPlan Pro ("we", "us", "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and account

You must be at least 13 years old (or 16 in the European Union) to use MindPlan Pro. By creating an account, you confirm that the information you provide is accurate and that you have the legal capacity to enter into these Terms.

You are responsible for all activity under your account, including keeping your credentials secure. Notify us immediately at hello@mindplanpro.com if you suspect unauthorized access.

2. Description of the Service

MindPlan Pro is an AI-powered visual workspace for thinking, planning, and execution. The Service includes mind maps, flowcharts, Kanban boards, Gantt timelines, agile sprints, AI generation, and related collaboration features. Features may be added, changed, or removed over time.

3. Plans, billing, and cancellation

Free plan

The Free plan is available at no cost and includes a limited set of features (e.g., up to 3 maps, limited AI actions). We may modify Free plan limits at any time with reasonable notice.

Paid plans

Paid plans (Pro, Team, or others we may offer) are billed monthly or yearly in advance via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. Prices are shown on the pricing page and may change with 30 days' notice; price changes do not affect the current billing cycle.

Cancellation and refunds

You can cancel anytime from your account settings or by emailing us. Cancellation takes effect at the end of the current billing period; you keep paid access until then. We do not provide refunds for partial periods unless required by law. If you believe we charged you in error, contact us within 30 days and we will review in good faith.

Trials and promotional credits

We may offer free trials, discounts, or promotional codes. These have specific terms (duration, eligibility) shown at the time of the offer. Trials convert to paid plans automatically unless you cancel before the trial ends.

4. Your content and ownership

You own everything you create in MindPlan Pro — mind maps, flowcharts, tasks, notes, prompts, and any other content (collectively, "Your Content"). We claim no ownership over Your Content.

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Your Content solely to operate and improve the Service for you. This license ends when you delete Your Content or your account (subject to limited backup retention as described in our Privacy Policy).

You are responsible for Your Content and represent that you have the rights to upload it and that it does not infringe any third-party rights or violate any law.

5. Our intellectual property

MindPlan Pro (the software, design, brand, logos, and all related materials) is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms. You may not copy, modify, reverse-engineer, or create derivative works of the Service.

6. Acceptable use

You agree NOT to use the Service to:

• Violate any applicable law or regulation.
• Upload, share, or generate content that is illegal, infringes intellectual property, defames, harasses, or promotes violence or discrimination.
• Send spam, phishing, or unsolicited messages through the Service.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Reverse-engineer, decompile, or extract source code from the Service.
• Use automated means (bots, scrapers) to access the Service in ways that strain our infrastructure or bypass usage limits.
• Resell, sublicense, or rent the Service without our written permission.
• Train competing AI models on data extracted from the Service.

Violations may result in immediate suspension or termination of your account.

7. AI features and limitations

MindPlan Pro includes AI-powered features that generate content based on prompts you provide. By using AI features, you understand:

• AI output can be inaccurate, incomplete, or biased. Always review AI-generated content before relying on it.
• AI output is provided "as is" with no guarantee of correctness, originality, or fitness for a particular purpose.
• Your prompts are sent to third-party LLM providers (via Base44) to generate responses. See our Privacy Policy for details.
• You are responsible for verifying AI output and for any decisions made based on it.
• AI usage may be subject to plan-specific quotas. We do not guarantee uninterrupted AI availability.

8. Third-party services

The Service relies on third-party providers (Base44 for backend, Stripe for payments, SendGrid for email, LLM providers for AI, OAuth providers for login). Your use of those services is subject to their own terms. We are not responsible for third-party service outages, errors, or changes.

9. Termination

You can terminate your account at any time from account settings or by emailing us. We can suspend or terminate your account immediately if you violate these Terms, fail to pay, use the Service in a way that harms us or others, or for any reason with reasonable notice.

After termination, you may lose access to Your Content. Export your data before terminating if you wish to keep it. We may retain certain data as required by law or for legitimate business purposes (see Privacy Policy).

10. Disclaimers and warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING (BUT NOT LIMITED TO) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT GUARANTEE THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT YOUR CONTENT WILL ALWAYS BE PRESERVED, SECURE, OR ACCESSIBLE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDPLAN PRO AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD 100.

12. Indemnification

You agree to defend, indemnify, and hold harmless MindPlan Pro and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms or any third-party right.

13. Modifications to the Service and Terms

We may change or discontinue parts of the Service at any time. We may update these Terms occasionally. For material changes, we will notify you by email or via an in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance. If you disagree, your only remedy is to stop using the Service.

14. Governing law and disputes

These Terms are governed by the laws of Honduras, without regard to its conflict-of-law principles. Any disputes arising from or related to these Terms or the Service will be resolved exclusively in the competent courts of Tegucigalpa, Honduras, unless mandatory consumer laws of your jurisdiction provide otherwise.

Before initiating a lawsuit, you agree to first contact us in good faith at hello@mindplanpro.com to try to resolve the dispute informally for at least 30 days.
